These AIBuilder Services Terms and Conditions (or "Terms") are a binding agreement between NW Virtual Partners LLC dba EventBuilder and its affiliates and subsidiaries (collectively, “EventBuilder”, “we,” “us,” or “our”) and you as an EventBuilder customer (“Customer”) that govern Customer’s access to and use of our AIBuilder Services. These Terms are governed by and part of the Customer Terms of Service between you and EventBuilder for your receipt and use of the Services.

THESE AIBUILDER SERVICES TERMS AND CONDITIONS INCLUDE THE CLASS ACTION WAIVER AND ARBITRATION PROVISION THAT GOVERNS ANY DISPUTES BETWEEN CUSTOMER AND EVENTBUILDER.

Our AIBuilder transforms how businesses approach sales and marketing by delivering strategic, AI-generated business assets, and sophisticated implementation guidance. The AIBuilder Services are designed to turn AI potential into measurable performance. The AIBuilder Services may include, but are not limited to, "Asset Generation" packages such as Sales Enablement, Conference Enablement, Virtual Event Marketing, Strategic AI Consulting Services, or other services as detailed in one or more Statements of Work (or “SOW”).

AIBuilder Services are available to Customers currently subscribed to one or more Services pursuant to the Customer Terms of Service with EventBuilder and subject to EventBuilder approval. To receive AIBuilder Services, you must agree to be unconditionally bound by these Terms. You can accept these Terms by clicking to accept or agree where this option is made available to you, in any agreement or electronic form, or by simply using or receiving AIBuilder Services from EventBuilder. You must be of legal age and capacity to form a binding contract to accept these Terms. If you do not agree with any provisions herein, do not access or use the AIBuilder Services.

Customer acknowledges that the AIBuilder Services leverage proprietary processes and advanced generative artificial intelligence (“AI”) platforms to provide the AIBuilder Services and produce Deliverables (defined in Section 7).

EventBuilder is committed to protecting your confidential information. All Customer Data is processed within a Secure AI Environment. This means we use enterprise-grade platforms under contractual agreements that guarantee your data remains confidential and is never used to train public AI models. This is a foundational component of our security and privacy protocol.

Customer will provide certain information, data, and materials ("Customer Data") necessary for AIBuilder to perform the Services. Customer retains all rights, title, and interest in and to their Customer Data. We will treat all non-public Customer Data as confidential and will not disclose it to any third party, except as required to perform the AIBuilder Services or other Services pursuant to the Customer Terms of Service, or as required by law.

AIBuilder Services are “Services” as that term is defined in the Customer Terms of Service. Unless otherwise expressly indicated, the information contained on the AIBuilder Services and any updates or improvements thereto are owned, controlled, or licensed by EventBuilder or its affiliates or licensors. AIBuilder Services are provided to Customer subject to the same license to the Services granted to Customer in the Customer Terms of Service. EventBuilder retains all rights, title, and interest in and to all underlying methodologies, proprietary processes, software, and generalized AI-related know-how used to provide the AIBuilder Services. EventBuilder reserves all rights not expressly granted in these Terms.

Customer and EventBuilder may agree pursuant to a SOW that EventBuilder will develop and provide to Customer one or more final, tangible outputs (e.g., completed case study drafts, content strategy documents, conference intelligence packs, or other as mutually agreed) (“Deliverables”). Upon Customer’s full payment of all fees owed to EventBuilder for the Deliverables and AIBuilder Services, Customer shall own the Deliverables as Works for Hire pursuant to Section 11(d) of the Customer Terms of Service. EventBuilder strives to produce high-quality, accurate Deliverables. However, the Customer is solely responsible for reviewing all Deliverables for factual accuracy and appropriateness before any business use. The Customer is ultimately responsible and liable for the business outcomes and any use of the Deliverables.

Customer acknowledges that the quality and relevance of the AIBuilder Services and Deliverables are directly dependent on the quality of the Customer Data. Customer represents and warrants that the Customer Data is accurate and complete and that Customer has all necessary rights, licenses, and permissions to provide the Customer Data to EventBuilder for purposes of the AIBuilder Services and that doing so does not violate any applicable laws or third-party rights. The license grant to EventBuilder in Section 11(c) of the Customer Terms of Service applies to Customer Data for purposes of the AIBuilder Services.

You agree to pay all Fees for the AIBuilder Services and any Deliverables as stated in the applicable SOW according to Section 3 of the Customer Terms of Service.

These AIBuilder Services Terms and Conditions are subject to the Customer Terms of Service in all respects, including all agreements and documents incorporated therein by reference, including without limitation, Compliance, Intellectual Property, Disclaimer of Warranties, Limitations of Liability, Indemnification, and Miscellaneous Terms. These Terms are in addition to, and do not replace or change, any other agreements you enter into with EventBuilder, which may include but are not limited to our Terms of Use or a Customer Terms of Service. In the event of a conflict between these Terms and the Customer Terms of Service or EventBuilder’s Terms of Use, these AIBuilder Services Terms and Conditions shall govern with respect to the subject matter herein.

These Terms may be executed by the parties in one or more counterparts, each of which when so executed and delivered shall be an original and such counterparts shall together constitute one and the same instrument. These Terms may be amended by EventBuilder at any time upon notice to you – by continuing to access or use AIBuilder Services following an update to these Terms, you agree to accept such changes.

BY CONTINUING TO ACCESS OR USE CUSTOMER AGREES TO THESE AIBUILDER SERVICES TERMS AND CONDITIONS.
